I don't understand your second question, but do you want to open a mdl file to edit it? Or simply to view it?
To view mdl files, download Half-Life Model Viewer, (http://www.swissquake.ch/chumbalum-soft/hlmv/index.html) it's freeware.
To edit models a good editing program is MilkShape3D. Its shareware, free for 30 days then it costs 25$. You can get it on the same site you get HL Model Viewer.

I'm pretty sure you can, but I don't know exactly how.
I don't have gmax, I registered MilkShape3D and used that, for about 2 days...wasted my 25$ because I don't know if I'm gonna model again, lol.
Look around on the Models/Skins section of the forum, or maybe someone will pop in with the answer to that.
