Have you tried redownloading a different source? There are lots of different download sites - list here - and quite often it can be that people have downloaded a corrupted version. Just a suggestion..

Explaining your problem in etail usually helps. Make sure you have an updated copy of steam www.steampowered.com.

also make sure you have beta 1.2 before trying to patch to beta 1.2.1
